(hereinafter “Company”), with its registered office 3012, Rotterdam, the Netherlands, at Weena 340, reg. no. 24426210. The associates of the Company are ČEZ, a. s. owner of 67 % shares of the registered capital and ZAO Infoterm, with its registered office 105484, Moscow, Russian Federation, at str. 16 Parkovaya, build. 27, as owner of 33% shares of the registered capital of the Company. The Share Purchase Agreement was concluded on 29. 8. 2008 and the title of share was transferred at the same time, together with the change in the stockholder’s list of the company ZAO TransEnergo. The transfer of 100% shares of the registered capital of the company ZAO TransEnergo to the company Transenergo International N.V. complies with the articles of incorporation and was approved by the Board of Directors and Supervisory Board of ČEZ, a. s.
