ČEZ has completed transaction with Dalkia

Today, after Tuesday´s concurring opinion of tender body, the power company ČEZ acquired 85% of shares in Kalkia Ústí nad Labem, for the price recalculated to 100% share in the amount of 6.3 billion CZK and consisting of fixed and variable components. Dalkia Ústí nad Labem comprises in particular Trmice Heating Plant and roughly 20% share in Tepelné hospodářskí Ústí nad Labem.

In addition ČEZ today completed the transaction and therefore acquired 15% share in Dalkia CR for 3.6 billion CZK, also consisting of fixed and variable components.

The agreement also includes option to buy remaining 15% share in Dalkia Ústí nad Labem, and on the other hand Dalkia may acquire the 85% share back under certain conditions. Both options are related to the interest of both parties in continued non problematic business in Ústí nad Labem and development of future negotiations concerning potential asset transactions.

By this acquisition ČEZ fulfils its long term interests in heating industry. Specifically in Ústí nad Labem ČEZ already owns companies Martia and PPC Úžín. Currently ČEZ may optimize its plans in this town in cooperation with town representation, considering assurance of long-term heat supply with regard to environmental protection and price of heat.

ČEZ will definitely reduce its overall emissions in Ústí nad Labem region. The ČEZ Group does maximum for improvement of environment in Ústí nad Labem region - upgrades power plants and builds new high efficiency power sources and therefore resulting emissions will be far under the limits determined by the European Union. This will be achieved before the year 2015 when new emission limits will come into effect.
