ČEZ, a. s., with its registered office in Prague 4, Duhová 2/1444, Postal Code 140 53, ID number 452 74 649 (the „Company") would like to announce an increase of the registered capital in the company CM European Power International B.V., with its registered office in Rotterdam, The Netherlands, at Weena 327, Postal Code 3013AL, reg. no. 24439848 („CMEPI B.V.").
The members of CMEPI B.V. are ČEZ, a. s. and MOL Magyar Olaj - és Gázipari Nyilvánosan Működő Részvénytársaság, with its registered office in Budapest, Hungary, Október huszonharmadika u. 18., Postal Code 1117, with an egual interest of 50% on the registered capital of CMEPI. B.V.
The registered capital of CMEPI B.V. was increased by EUR 34,945,200 on 30.11.2009. The increase has been paid up and the registered capital of the CMEPI B.V. now amounts to EUR 56,535,200.
On 30 November 2009, transaction between ČEZ, a. s. and Slovnaft, a.s. on purchase of 24,5% stake in the Slovakian company CM European Power Slovakia, s.r.o. was settled as well.
The increase of the registered capital and purchase of the stake were approved by the Company's Board of Directors and the Company's Supervisory Board in compliance with the Company's Articles of Association.
