Increase in the registered capital of Elektrárna Chvaletice a.s.

ČEZ, a. s. with the registered office at Prague 4, Duhová 2/1444, post code: 140 53, company ID: 452 74 649, incorporated in the Companies Register maintained by the Municipal Court in Prague, section B, file 1581, (hereinafter referred to as "ČEZ, a. s.") has the honour to inform you about the increase in the registered capital of Elektrárna Chvaletice a.s. with the registered office at Chvaletice, K Elektrárně 227, post code: 533 12, company ID: 287 86 009, incorporated in the Companies Register maintained by the Regional Court in Hradec Králové, section B, file 2905 (hereinafter referred to as "Elektrárna Chvaletice a.s.") whose sole shareholder has still been ČEZ, a. s. The registered capital was increased in the form of the investment in kind consisting of the part of the enterprise of ČEZ, a. s. - organization unit "Elektrárna Chvaletice" - in the registered capital of Elektrárna Chvaletice a.s.
The increase in the registered capital crowned the process of the spin-off of the aforesaid part of the enterprise of ČEZ, a. s. into the separate subsidiary Elektrárna Chvaletice a.s, which was initiated by the intent of the Board of Directors of ČEZ, a. s. of 12 October 2009. In accordance with the Articles of Association of ČEZ a. s. the general meeting of ČEZ, a. s. approved the contract on investment of the enterprise part that was signed by the representatives of both the companies on 3 August 2010. On 1 September 2010 the part of the enterprise of ČEZ, a. s. was transferred to Elektrárna Chvaletice a.s., whereby the investment in kind has been fulfilled. The new amount of the registered capital of Elektrárna Chvaletice a.s. was recorded in the Companies Register on 20 October 2010.
The registered capital of Elektrárna Chvaletice a.s., which prior to the increase amounted to 20,000,000 CZK (in words: twenty million Czech crowns) was increased by 4,386,000,000 CZK (in words: four billion three hundred and eighty-six million Czech crowns) to the current amount of 4,406,000,000 CZK (in words: four billion four hundred and six million Czech crowns).
