ČEZ, a. s., registered office in Prague 4, Duhová 2/1444, ZIP Code 140 53, ID Number 452 74 649, takes the liberty of announcing that on 9 June 2008, in the form of a notarial record, a decision was made by the sole partner ČEZ, a. s. acting in the capacity of the general meeting of the dissolved company ČEZData, s.r.o., registered office in Pilsen, Guldenerova 2577/19, ZIP Code 303 38, ID number 271 51 417 (dissolving of the company without liquidation and approval of the draft merger agreement), and a second decision was made by the sole shareholder ČEZ, a. s. acting in the capacity of the general meeting of the successor company ČEZnet, a.s., registered office in Prague 2, Fügnerovo nám. 1866/5, ZIP Code 120 00, ID Number 264 70 411 (approval of takeover of the dissolved company’s assets and approval of the draft merger agreement).
Subsequently, on 10 June 2008 with the participation of a notary, the merger agreement was signed by the representatives of the involved companies. The legal effects of the merger with legal succession of ČEZnet, a.s. will occur on 1 October 2008.
